THESE TERMS OF SERVICE GOVERN YOUR ACCESS TO AND USE OF THE Chizuko Music LLC PLATFORM AND ITS ASSOCIATED SERVICES. PLEASE READ THESE TERMS CAREFULLY. BY REGISTERING, CREATING AN ACCOUNT, OR USING ANY PART OF THE PLATFORM OR SERVICES, YOU AGREE THAT (1) YOU HAVE READ, UNDERSTAND, AND ACCEPT THESE TERMS, (2) YOU ARE OF LEGAL AGE AND CAPACITY TO ENTER INTO A BINDING AGREEMENT WITH Chizuko Music LLC, (3) THE INFORMATION YOU HAVE PROVIDED DURING REGISTRATION IS TRUTHFUL, ACCURATE, AND COMPLETE, AND (4) YOU HAVE THE AUTHORITY TO ACCEPT THESE TERMS ON BEHALF OF YOURSELF OR THE BUSINESS ENTITY YOU REPRESENT, BINDING THAT ENTITY TO THIS AGREEMENT. SOME COMPONENTS OF THE PLATFORM MAY BE GOVERNED BY “OPEN SOURCE” OR “FREE SOFTWARE” LICENSES, AND THOSE COMPONENTS ARE NOT COVERED BY THESE TERMS BUT INSTEAD ARE SUBJECT TO THE TERMS OF THEIR RESPECTIVE LICENSES.

UPON ACCEPTANCE, THESE TERMS OF SERVICE, ALONG WITH OUR PRIVACY POLICY, DATA PROCESSING AGREEMENT, AND AFFILIATE AGREEMENT (IF APPLICABLE), COLLECTIVELY FORM A BINDING LEGAL AGREEMENT BETWEEN YOU (OR THE BUSINESS ENTITY YOU REPRESENT) AND Chizuko Music LLC, INC., INCLUDING ITS OFFICERS, DIRECTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS (REFERRED TO AS “Chizuko Music LLC,” “WE,” OR “US”). THESE TERMS GOVERN ALL ASPECTS OF YOUR ACCESS TO AND USE OF THE PLATFORM AND ALL OTHER INTERACTIONS WITH Chizuko Music LLC RELATED TO THE PLATFORM.

Chizuko Music LLC reserves the right to modify these terms at any time. All changes will become effective immediately upon posting. By continuing to use the platform after any changes are posted, you are agreeing to the revised terms.

Chizuko Music LLC provides the platform for your business purposes, without guaranteeing exclusivity. Our users, including customers, entrepreneurs, affiliate marketers, and partners, are not employees, agents, or representatives of Chizuko Music LLC. We are not liable for any interactions or disputes between you and your customers, nor for any claims, losses, damages, or injuries that may result from your relationships with them. You acknowledge that you are responsible for establishing your own terms of service to govern your relationship with your customers.

We strongly recommend that you consult with a legal professional to ensure that your use of the platform complies with these terms and all applicable laws.

Use of Platform

1.1 Restrictions: You must be at least 18 years old to access and use the platform. By agreeing to these terms, creating an account, or using the platform, you confirm that you are at least 18 years old. If you are an employee, partner, or director of a competitor, or if your intention is to access the platform for competitive purposes, you are not permitted to use the platform or services.

1.2 Platform Account Ownership: Your access to the platform requires that you provide accurate, current, and complete information during the registration process. The platform is designed for professional or business use. The person who accepts these terms is considered the owner of the account, unless they are acting on behalf of a business entity, in which case the business entity is the account owner. If you accept these terms on behalf of a business, you confirm that you have the authority to bind that business to these terms. In situations where there are disputes over the ownership of an account, Chizuko Music LLC will consider the owner to be the individual who can prove their ownership of the associated business entity by providing valid legal documentation. If Chizuko Music LLC cannot determine the rightful owner, it reserves the right to suspend or terminate access to the account until an agreement is reached or a court decision is made.

1.3 Intended Use: The platform is intended for lawful use only, and you and your customers agree to use it in accordance with all relevant laws and these terms. You agree not to engage in any prohibited activities and to ensure your customers do the same. You also confirm that: (i) you and your customers have all necessary licenses and permissions to fulfill your obligations under these terms; (ii) you are responsible for the actions of your employees, agents, and customers using the platform; (iii) you will not misrepresent the platform or services; (iv) your employees and customers with platform access are bound by terms equivalent to these; (v) you own or have the right to all content you provide on the platform; (vi) you will cooperate with law enforcement and regulators as required; (vii) you will not allow competitors to access the platform; (viii) you will not reverse engineer, decompile, or otherwise attempt to discover the source code or structure of the platform; (ix) you will not modify, translate, or create derivative works based on the platform except as expressly permitted; and (x) you will not remove any proprietary notices or labels from the platform.

1.4 Compliance: You are solely responsible for your use of the platform and services, including ensuring the quality and integrity of all data you provide, maintaining appropriate insurance coverage, and complying with all applicable laws and regulations, including data privacy laws. Chizuko Music LLC does not guarantee that your use of the platform complies with any legal requirements, and it is your responsibility to ensure compliance with all relevant laws, including those related to data protection.

1.5 Privacy: By using the platform and providing data or information through it, you agree to Chizuko Music LLC use and handling of this information in accordance with our Privacy Policy, which is available on our website and forms part of these terms. You understand that Chizuko Music LLC is not responsible for the deletion, loss, or failure to store any information or content you maintain or transmit on the platform. When granting your customers access to the platform, you must enforce your own terms of service and privacy policy that provide at least the same level of protection as Chizuko Music LLC. You must also obtain your customers' consent to these terms and ensure they acknowledge your privacy policy. You represent and warrant that you have provided and will continue to provide adequate notice and obtain necessary consents to process your customers’ data in accordance with these terms and our Privacy Policy.

You may not use, resell, authorize, or permit others to use, or make available any data obtained from Chizuko Music LLC for purposes that violate our Acceptable Use Policy or any applicable laws. You must also comply with all relevant laws when collecting personal data that will be shared with or processed by third parties.

1.6 Login Credentials: You are responsible for maintaining the confidentiality of your login credentials for your Chizuko Music LLC account. You are accountable for all activities that occur under your account, whether or not you authorized them. If you become aware of any unauthorized access to or use of your account or login credentials, or any other security breach, you agree to notify Chizuko Music LLC immediately. Chizuko Music LLC reserves the right to disable your login credentials at any time, at its sole discretion, for any reason, including if Chizuko Music LLC believes you have violated any provisions of these terms. Platform accounts are non-transferable. You must take proactive measures to prevent unauthorized users from accessing your account using your login credentials. You consent to Chizuko Music LLC accessing and monitoring your account and your customers’ accounts for support, security purposes, and to perform its obligations under these terms or to enforce these terms.

1.7 Use of Communication Services: The platform may offer communication features such as SMS, MMS, email, voice calls, and other methods. Separate fees for these services may apply and will be added to your invoice. If you use these features, you agree that you are solely responsible for all communications sent through the platform, including ensuring compliance with all applicable laws and regulations, such as the Telephone Consumer Protection Act (TCPA), Do Not Call rules, and CAN-SPAM Act. You represent and warrant that you are aware of and will comply with these laws. Chizuko Music LLC is not responsible for ensuring your compliance with any legal requirements and does not guarantee that your use of the platform will meet any legal standards. Chizuko Music LLC is solely a technology platform provider for communication services and does not originate, send, or deliver any messages via SMS, MMS, email, or other communication methods. All communications, whether SMS, MMS, email, or otherwise, are created and initiated by you or your customers, either manually or automatically through the platform at your direction. Communication fees are subject to the terms of any applicable third-party service agreements.

1.8 Third-Party Services: You may have the option to access third-party services through the platform. You are responsible for enabling and managing the integration of these third-party services. By choosing to purchase or integrate third-party services through the platform, you authorize Chizuko Music LLC to share your data with these third-party service providers to facilitate integration and usage. You also confirm that you have obtained all necessary permissions and consents to import any data (including your customers' data) from other third-party services, or you are the rightful owner of such data. Chizuko Music LLC is not liable for any actions or omissions by any third-party service providers or the operation of any third-party services, including any modifications, deletions, or access to data, even if Chizuko Music LLC supports, approves, or promotes these services. You waive any claims against Chizuko Music LLC regarding the content or operations of any third-party services. Your use of third-party services is governed by your agreements with those third parties, including any specific policies they may impose. You are solely responsible for reviewing and complying with any terms of use, privacy policies, or other terms that govern your use of these third-party services, which you use at your own risk. Chizuko Music LLC disclaims any liability related to downtime or outages of third-party services.

Chizuko Music LLC does not guarantee the interoperability, integration, or support of any third-party services, nor does it make any representations, warranties, or endorsements, express or implied, regarding the legality, accuracy, quality, or authenticity of content, information, or services provided by these third-party services. Chizuko Music LLC may, at its sole discretion, modify the platform or services, which may impact the integration, interoperability, or support of third-party services.

If you choose to pause or delete parts of your Chizuko Music LLC account, certain features, functionalities, or services, including third-party services (such as communication tools or email services), may not be recoverable upon reactivation. If your account is paused for more than thirty (30) days and Chizuko Music LLC continues to incur costs on your behalf related to third-party services (such as the cost of maintaining a phone number for you), Chizuko Music LLC reserves the right to release the phone number or delete parts or all of your account at its discretion, without liability to you.

1.9 Third-Party Content: The platform may feature content provided by third parties. Your use of any third-party content is at your own risk and discretion. All statements, opinions, or information presented in third-party content are solely those of the third party and do not necessarily reflect the views of Chizuko Music LLC. Chizuko Music LLC is not responsible for third-party content and does not endorse, represent, or warrant the accuracy, reliability, or completeness of such content. You are responsible for ensuring that your interactions or transactions with third-party content comply with these terms and all applicable laws.

1.10 Excessive Use Restrictions and Trials: Chizuko Music LLC offers access to the platform on a tiered pricing basis, where certain tiers allow for more extensive data use with minimal performance impact. Chizuko Music LLC is not liable for any degradation in performance due to your excessive data usage. If, at Chizuko Music LLC's sole discretion, it is determined that your data use is excessive, abusive, or negatively impacts the platform’s performance, Chizuko Music LLC may (1) require you to upgrade your services to a higher tier if your data use exceeds the intended capacity of your current subscription or if the operational costs to support your usage exceed your subscription fee; (2) suspend or terminate your access to the platform or services; and/or (3) limit the amount of data you are allowed to use.

Trial periods are not meant to be used consecutively. If it is discovered that you are using back-to-back trials to avoid paying for a subscription, Chizuko Music LLC reserves the right to suspend or terminate your access to the platform or services and may ban you from further use at its sole discretion, without prejudice to any other remedies available under the law.

1.11 Platform Updates: Chizuko Music LLC reserves the right to update or modify the platform at any time, which may include changes that affect how the platform previously operated. Your use of the platform or purchase of services is not contingent upon Chizuko Music LLC's future release of any specific functionality or feature, including the continuation of a particular service or third-party service.

1.12 International Use: If you are located in a country subject to embargo or are a sanctioned individual or entity, you are prohibited from using the platform. Chizuko Music LLC makes no representation that materials on the platform are appropriate or available for use outside your home country. Those who access the platform from locations outside their home country do so at their own risk and are responsible for compliance with local laws, including any taxes applicable to internet purchases. You agree to comply with all applicable export control laws and economic sanctions, including those administered by the U.S. Department of Commerce and the U.S. Department of the Treasury. By using the platform, you agree not to use, export, import, sell, release, or transfer the platform, services, or any supporting technology in violation of any export control laws. Specifically, the platform and services, along with any related technology, may not be exported, transferred, or released to certain restricted countries or individuals as defined by applicable laws.

You represent, warrant, and covenant that you are not listed on any government list of prohibited or restricted parties, which includes individuals or entities restricted from engaging in transactions by authorities such as the United States government, the European Union, or other applicable regulatory bodies. Additionally, you confirm that you are not located in, or a resident of, any prohibited jurisdiction, including but not limited to countries or regions subject to comprehensive embargoes or sanctions by the U.S. government, such as Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, and other regions designated as restricted under applicable laws. You also agree that you will not use the platform in any manner that violates export control laws or other applicable regulations. It is your responsibility to ensure that all data and activities conducted on the platform comply with relevant laws. Chizuko Music LLC reserves the right to terminate access to any account found to be in violation of these regulations.

1.13 Artificial Intelligence Acceptable Use Policy: Before using any artificial intelligence (AI) features of the platform, you must ensure that such usage is permitted in your jurisdiction. If you decide to use AI-based features, you are responsible for ensuring compliance with Chizuko Music LLC’s AI Acceptable Use Policy, which is included as Exhibit B.

1.14 Domain Names: If you purchase a domain name through the platform, Chizuko Music LLC will register it on your behalf, with Chizuko Music LLC listed as the registrant. You must use the domain name in compliance with these terms. If you wish to transfer the domain name to your own ownership, you must request this in writing, and a transfer fee may apply. You agree to indemnify Chizuko Music LLC for any claims arising from your use of the domain, including violations of these terms or applicable laws.

1.15 Customer Account Transfer Requests: Chizuko Music LLC will not process requests to transfer sub-accounts made by your customers unless you have approved the transfer through our in-app process. Chizuko Music LLC may, however, fulfill a transfer request without your approval if (i) the customer has attempted to seek your approval through the in-app process, (ii) you have not responded for at least 30 days, and (iii) your account has been canceled for non-payment or due to a breach of these terms, without reactivation within 30 days.

1.16 Bug Reporting Policy: Chizuko Music LLC does not have a bug bounty program and does not compensate for reported bugs. Unauthorized access to the platform, including penetration testing or security assessments, is prohibited unless explicitly allowed under these terms or a separate written agreement with Chizuko Music LLC.

1.17 Certification Program: Chizuko Music LLC offers a certification program for users who successfully complete exams demonstrating their expertise on the platform. Certification badges are awarded to individuals and do not apply to the entire organization. You agree not to misrepresent certification badges on your store, social media, or the platform. Certification does not imply endorsement or affiliation by Chizuko Music LLC. By participating, you grant Chizuko Music LLC permission to list your contact information in the Chizuko Music LLC Certified Directory. Any business conducted as a result of certification is at your own risk, and Chizuko Music LLC is not liable for any outcomes. Misrepresentation of your relationship with Chizuko Music LLC or misuse of the Certification Directory is grounds for removal from the program.

1.18 Ecommerce Products and Services: You are fully responsible for any products or services sold through the platform, including their descriptions, prices, legal compliance, and any promotional content. Chizuko Music LLC does not provide refunds to your customers and is not responsible for the accuracy or legality of your product offerings. You are responsible for creating and operating your store, managing transactions, fulfilling orders, and complying with all applicable laws, including consumer protection regulations. Chizuko Music LLC does not act as the seller of record and has no liability for your store or the products sold. You must ensure that your terms and conditions with customers do not conflict with these terms. Chizuko Music LLC reserves the right to remove any content or terminate services if you violate these terms or applicable laws.

White Labeling and Resale Policy

2.1 Resale Restrictions: When reselling access to the Chizuko Music LLC platform, you agree that you are fully responsible for your customers’ use of and access to the platform, including handling all customer inquiries and disputes. If Chizuko Music LLC determines, at its sole discretion, that you are consistently failing to provide satisfactory resolutions to your customers or if we receive multiple complaints about your lack of response to legitimate customer concerns, we reserve the right to terminate your Chizuko Music LLC account.

2.2 Minimum Advertised Price (MAP) Policy: If you are authorized to white-label and resell access to the Chizuko Music LLC platform, you must not advertise access to the core platform features at a price lower than the standard prices set by Chizuko Music LLC (the "MAP Policy"). The "core platform" is defined as a combination of two or more of the following features: (i) website and funnel builder, (ii) forms, (iii) surveys, (iv) customer relationship management (CRM), (v) email marketing tools, (vi) calendar management, and (vii) automation workflows.
